The disclosures made in this document are required under the Financial Markets Conduct Act 2013 ("Act") and the Securities Markets (Investment Advisers and Brokers) Regulations 2007. The disclosures are made on behalf of Elevation Capital Management Limited (“Elevation Capital”) and the executives/contractors named below who act for it on a day-to-day basis.

Elevation Capital Management Limited: Elevation Capital is a global asset manager established by Christopher Swasbrook (Managing Director). Elevation Capital only manages investments for wholesale and institutional investors. Investors must qualify as wholesale investors as defined in Schedule 1 of the Financial Markets Conduct Act 2013.

Directors: Christopher Swasbrook is the Managing Director.

Executives: Elevation Capital has the following executives: Christopher Swasbrook, Managing Director & Portfolio Manager, and Sam Thackery (Executive Director, Compliance Officer, and Administration Manager), who are responsible for day-to-day operations. All executives receive remuneration in the form of salary/wages and/or contracting payments, and potentially an annual discretionary bonus from Elevation Capital for their duties.

Remuneration: Elevation Capital receives remuneration in a variety of ways: (i) a management fee from wholesale separate accounts it manages (this fee may vary by client based on portfolio size); (ii) fees for advising clients on capital structure and corporate strategy; and (iii) raising capital via the placement of investments/securities.

Procedures for handling investment funds: Elevation Capital does not receive investment proceeds directly from investors. Investment proceeds must be paid to the Public Trust as custodian for all client wholesale separate accounts. These bank accounts are held in the name of the Custodian – Public Trust ("PT") on behalf of the underlying client. Elevation Capital does not have access to or signing authority for external payments from these accounts. Investment funds for a capital raising/placement of securities will be paid directly to the entity raising the capital.

Insurance: Elevation Capital has Directors & Officers Insurance of NZ$2.0mln with Vero Liability Insurance Limited.

Legal Disclosures: Elevation Capital, its executives and its directors have not been: convicted of any offence against the Act or the Securities Act 1978 or of a crime involving dishonesty; a director or principal officer of a body corporate when that body corporate committed any offences or crimes involving dishonesty; adjudicated bankrupt; prohibited by an Act or by a court from taking part in the management of a company or business; subject to an adverse finding by a court in any proceeding that has been taken against them in their professional capacity; expelled from or prohibited from being a member of a professional body; or placed in statutory management or receivership.
